Terms of Service

1. Agreement to Terms

By accessing badisol.com or engaging Bach Digital Solutions LLC for any service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree with any part of these Terms, you must not use our website or services.

2. Services Description

Bach Digital Solutions LLC provides custom digital services including but not limited to:

• Custom web application design and development
• SaaS platform architecture and development
• Business software and internal tools
• Workflow automation and process optimization
• API design and third-party integrations
• Technical consulting and project scoping

All services are provided on a project basis or as otherwise agreed in writing. The scope, deliverables, and timeline of each engagement are defined in a separate project agreement or proposal signed by both parties.

3. Project Agreements

Each project will be governed by a dedicated project agreement that specifies:

• Detailed scope of work and list of deliverables
• Project timeline and milestone schedule
• Payment terms, amounts, and schedule
• Revision rounds included
• Acceptance criteria and sign-off process
• Intellectual property assignment

In the event of a conflict between these Terms and a specific project agreement, the project agreement shall prevail.

4. Payment Terms

Payment terms are specified in each project agreement. As a general policy:

• A deposit of 50% of the total project fee is required before work begins
• The remaining balance is due upon project completion and delivery
• Invoices are due within 14 calendar days of issuance
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to pause or terminate work on projects with overdue invoices

5. Revisions and Change Requests

Each project includes a defined number of revision rounds as specified in the project agreement. Revisions are defined as minor adjustments to agreed deliverables and do not include changes to the scope of work. Requests that alter the original scope will be treated as change orders and may result in additional charges and timeline adjustments. All change orders must be agreed upon in writing before implementation.

6. Intellectual Property

Upon receipt of full payment, all custom code, designs, and deliverables created specifically for your project become your property. You are granted full rights to use, modify, and distribute these deliverables.

Third-party libraries, frameworks, fonts, and open-source tools used in your project remain subject to their original licenses (e.g., MIT, Apache 2.0). We will provide a list of all third-party dependencies used upon request.

We reserve the right to display your project in our portfolio and case studies unless you explicitly request otherwise in writing.

7. Confidentiality

We treat all client information as confidential. We will not disclose your business information, project details, or proprietary data to any third party without your explicit written consent, except as required by law or to subcontractors who are bound by equivalent confidentiality obligations.

8. Client Responsibilities

For a project to be completed on time and to specification, the client agrees to:

• Provide all required content, assets, credentials, and feedback in a timely manner
• Designate a primary point of contact for project communication
• Review and approve deliverables within the timeframes specified in the project agreement
• Ensure that any materials provided to us do not infringe third-party intellectual property rights

Delays caused by late client feedback or missing materials may result in timeline adjustments and are not the responsibility of Bach Digital Solutions LLC.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Bach Digital Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

10. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will use commercially reasonable efforts to deliver all agreed deliverables on time and to specification.

Except as expressly stated above, our services are provided 'as is' without warranty of any kind. We do not warrant that our deliverables will be free of errors, or that they will meet any specific performance benchmarks unless expressly agreed in writing.

11. Termination

Either party may terminate a project agreement with 14 days' written notice. In the event of termination, you agree to pay for all work completed up to the date of termination. If we terminate due to non-payment or breach of these Terms, the deposit is non-refundable.

Upon termination, we will deliver all completed work and transfer all relevant credentials and assets to you within 7 business days.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which Bach Digital Solutions LLC is registered. Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute may be referred to binding arbitration in accordance with applicable rules.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised 'Last updated' date. Continued use of our services after any changes constitutes acceptance of the updated Terms.
